Wyoming. Now Here Is the Part That Actually Matters.

Wyoming is the right default, and choosing it is the least consequential decision in the whole setup. The parts people postpone matter far more.

Wyoming. Form the LLC there. It costs somewhere around two hundred dollars, you can have it inside of twenty-four hours, and you do not need to live there.

That is the answer, and I have now given you the entire value of the question you came here with. What follows is the part worth your evening, because the state on your formation certificate is the least consequential decision you will make this month, and the decisions sitting right next to it are not.

The three options, quickly

Sole proprietorship. No. You are selling a product to strangers across the country under your own name with your personal assets standing behind it. Do not run a business through your personal bank account. This is the one genuine mistake available in this section.

An LLC in your own state. Unnecessary. People assume the entity has to live where they live, but your customers are going to be spread across every state, so there is no local business to attach it to. You do not need a local business license either, for the same reason. And I would not form a PLLC — that structure exists for licensed practice, which is not what this is.

An LLC in Wyoming. What I use, for reasons that are specific rather than atmospheric:

  • Formation is fast — a day, using any of the formation services that do nothing else.
  • There are no meaningful ongoing reporting requirements to maintain it.
  • It is anonymous. Someone cannot look up who owns a Wyoming LLC. For a professional who would rather their employer or their colleagues not find the business in a search, that alone can be the deciding factor.
  • The corporate veil is genuinely hard to pierce there, which is the entire point of forming an entity in the first place.
  • Wyoming's charging-order protections are strong, which matters in the unlikely event you are ever sued and money is sitting inside the LLC.

On tax: Wyoming imposes no state income tax at the entity level, which is one of the reasons the state is popular. What it does not do is change where you personally live and file. An LLC's income generally flows through to its owner and gets taxed accordingly, so treat the entity as a liability and privacy decision, and let your accountant tell you what it means for your return. Anyone selling you a Wyoming LLC primarily as a way to stop paying income tax is selling you something else.

What actually pays

Here is the comparison nobody frames properly. Choosing the state is a coin flip between good options. These are the ones with real money attached.

Elect S-corp treatment — later. Once the business is producing enough that you are paying yourself, filing your LLC as an S-corp lets you split what you take out: a reasonable salary, which carries employment taxes, and the rest as a distribution, which does not. That is a meaningful percentage of everything you take out of the business, every year, forever. It is one form. You do not need it on day one — do it in the first year or so, once there is actually income to pay yourself with, and have your accountant confirm the timing.

Get the EIN yourself. Five minutes on the IRS site, free. Formation services will happily include it in a package. There is no reason to pay for it, and you will need it before you can open a bank account or a payment processor.

Open the bank account, and expect friction. This is the one part of the Wyoming route that trips people up: plenty of local banks will only open a business account for an entity registered in their own state. National banks and online business banks generally will not care. It is an annoyance, not an obstacle, and it is worth knowing before you drive to a branch.

Hire a bookkeeper. For a business this simple it costs very little a month, and it removes a recurring task that produces no revenue. Run everything through one business account and one business card so there is almost nothing to reconcile.

What to skip for now

Trademarking. I would not do it until the business is proven. It costs on the order of a thousand dollars and takes months. Mine was refused on the first pass, which meant hiring a lawyer for another thousand to argue it, and about six months from start to finish. If your business is working and the name matters to you, do it then, and the name is protected from the moment the application goes in. If you are still finding out whether anyone will buy the course, that money belongs somewhere else.

Liability insurance — unless. It depends entirely on what you teach. If someone acting on your material could cause real harm — clinical education, tax and financial guidance, anything where an error propagates into someone else's decision — then an errors and omissions policy is worth having, and a broker will find you a better fit than shopping for it yourself. In the startup phase, with few students, expect it to be modest. It scales up considerably once you have thousands of students and genuinely risky subject matter. If what you teach carries no real downside, skip it and keep the money.

The point of doing this in an afternoon

Every hour spent comparing states is an hour not spent on the only thing that decides whether any of this matters, which is whether the course is any good and whether anyone wants it.

So: Wyoming LLC, EIN from the IRS, a business bank account, one card, a bookkeeper. S-corp election once there is income to justify it. Trademark and insurance only when the facts call for them.

That is a few hours of work and it is genuinely all the structure this business needs to operate. Get it done this week so it stops being the thing you are thinking about.
